By entering this Agreement, the Client acknowledges and agrees to this Disclaimer in full.

1. DEFINITIONS

“Client” refers to the individual or business purchasing services.

“Company” refers to MB Positive Impact LLC, its staff, contractors, partners, vendors, and affiliates.

“Services” refers to all website development, branding, consulting, and digital services provided.

“Digital Assets” include domains, hosting, SSL certificates, website files, CRMs, and related tools.

“Primary Account Holder” means the authorized representative signing the agreement.

2. SCOPE OF SERVICES

By contracting MB Positive Impact LLC, the Client authorizes the Company to oversee all phases of the digital project. The Client acknowledges that website launch requires multiple technical components and that purchasing a website alone does not guarantee website launch.

Services may include website development, consulting, custom programming, domain/hosting/SSL assistance, CRM setup, merchant integration, marketing services, and coordination with third-party vendors.

The Company may subcontract or utilize external providers where necessary.

3. ONLINE ASSET CONTROL & TRANSFER REQUIREMENTS

Client must provide access or transfer domain/hosting assets to accounts managed or accessible by the Company.
Nonpayment may result in suspension or restriction of digital assets.

4. COMMUNICATION REQUIREMENTS

Client must remain responsive throughout the project. Nonresponse beyond 30 days results in project pause. The Company is not liable for delays caused by Client communication issues.

5. CHANGE ORDERS

All change orders must be submitted in writing to [email protected].
Additional fees may apply for complex or labor-intensive change requests.

6. DIGITAL PRODUCT MANAGEMENT

Assets may auto-renew and are subject to third-party vendor pricing.
Client receives access to account dashboards and billing history.

7. LIMITATION OF LIABILITY

The Client agrees that MB Positive Impact LLC is not liable for financial losses, third-party failures, delays, downtime, data loss, or other damages.

Liability is capped at the amount paid by the Client for the specific service.

Client agrees to indemnify and hold the Company harmless for claims arising from use of provided services.

8. CANCELLATIONS & REFUNDS

Client has three (3) business days to request cancellation and refund.

Refund requests must be emailed to [email protected] with a clear explanation and required information.

Refunds processed within 3 days incur processing fees.
After 3 days, refunds are not guaranteed.

9. RETENTION OF TITLE (INTELLECTUAL PROPERTY)

All digital assets remain property of the Company until all payments are made in full.

If the Client cancels after 3 days, the full contracted amount remains owed.

10. FULFILLMENT TIMELINE

Average completion timeline: 3–5 weeks, depending on Client responsiveness.

12. ARBITRATION & DISPUTE RESOLUTION

All disputes will be resolved by binding arbitration, except where restricted by state law.

13. GOVERNING LAW & 50-STATE COMPLIANCE

This Agreement complies with relevant consumer, contract, and auto-renewal statutes in all 50 U.S. states.
